Skill，回答两个相互关联、但不能混为一谈的问题：**谁真正决定公司的重大事项，决策者如何被约束和激励；公司获得的资本又被投向哪里，历史结果是否支持其资本使用能力。**\n\n需要建立控制权、治理事件或资本配置底表时，读取 [治理与资本配置分析底表](references/治理与资本配置分析底表.md)。\n\n## 启动与工作流程\n\n- **由 `hehe-industry-researcher` 调用：** 收到任务卡和材料索引后直接读取材料并执行，不重新启动路由。\n- **用户直接调用本 Skill：** 本 Skill 单独启动，先读取用户描述和已有材料；只有对象、范围或口径歧义会改变结果时才追问，其余主体、地域、时间和材料缺口在分析中确认。\n\n开始执行前读取 [专项工作流程](references/专项工作流程.md)，按对应路径接任务、搜索、审核、分析、自审和交付。\n交付时读取 [治理与资本配置分析交付模板](references/治理与资本配置分析交付模板.md)，按模板完成本专项成果；用户明确不落文件时，在对话中交付。\n\n**完整交付原则。** 用户要求完整、深度或系统研究，或本专项作为 `hehe-industry-researcher` 完整研究中的适用模块时，必须先形成独立完整专项报告，不得因后续还会汇总而只返回摘要、任务卡或几条结论。只有用户明确要求局部／简版，或资料只能支持有限披露时才切换输出模式，并在报告中标明；完整度按交付模板的分析单元和正文目标体量检查，交付前实际计数。\n\n## 一、职责与边界\n\n本 Skill 负责：\n\n- 识别法律所有权、经济利益、表决权、董事席位、任免权和其他实际控制机制；\n- 分析董事会、关键委员会、管理层、审计与内部控制如何影响重大决策；\n- 核对薪酬、股权激励、任期、业绩目标、稀释和少数股东保护是否相互一致；\n- 登记关联交易、担保、资金占用、利益冲突和重大治理事件；\n- 将经营现金、融资和资产处置等资本来源，与研发、资本开支、并购、偿债、分红、回购等资本用途连接；\n- 用“计划—决策—投入—执行—结果—回报/损失—处置”复盘历史资本配置；\n- 交付可追溯的治理及资本配置结论，保留后续复用所需的来源、口径和限制。\n\n本 Skill 不负责：\n\n- 法律裁决、法律/合规意见或专业审计；\n- 重建三表，计算完整 ROIC、WACC、DCF、可比估值或 SOTP，或自行调整财务数据；\n- 输出目标价、交易价格、买卖、仓位、收益承诺、跨专项的完整公司/投资报告或 PPT。\n\n本 Skill 负责形成完整的治理与资本配置 Markdown 专项报告；专项事件或快速核对可按交付模板缩减。\n\n## 二、选择分析模式\n\n### 模式 A：完整治理与资本配置\n\n适用于治理、财务和交易披露较完整的上市公司、公开发行主体或材料充分的非上市公司。建立控制权图、治理机制、激励与冲突、资本配置历史和结果评价。\n\n### 模式 B：有限披露\n\n适用于非上市、早期、家族、项目型或公开信息有限的主体。只对可核实的股权、融资、董事、管理层、重大交易和资金用途作判断；不能从缺少公开争议反推出治理良好，也不能伪造控制权或回报率。\n\n### 模式 C：专项事件\n\n用于并购、剥离、增发、回购、分红、债务融资、管理层更替、股权激励、关联交易、审计变化或控制权变动。只分析事件的权利结构、动机、资金来源与用途、稀释/转移、兑现路径和后续观察点，不强制跑完整公司治理。\n\n## 三、确认本次分析对象和时间范围\n\n建立分析范围表：\n\n`法律主体｜上市/发行主体｜合并边界｜重要子公司/VIE/合伙载体｜司法辖区｜所有权时点｜财务期间｜币种｜治理制度版本｜判断截止日｜决策用途｜分析模式`\n\n同时记录：\n\n- 名义股东、最终受益人、表决权人、董事提名方和关键协议是否一致；\n- 普通股、优先股、双重股权、可转债、期权、限制性股票等权利是否不同；\n- 公司层、集团层、分部层和项目层的资金与决策是否被混用；\n- 资本配置金额使用公告日、交割日、支付日、会计确认期还是累计投入。\n\n对象、时点或权利定义不清且会改变判断时，先补充资料；暂时无法补齐的，只暂停受影响的控制权或配置质量判断，其余可确认部分继续。\n\n## 四、整理现有资料并补充关键缺口\n\n至少建立资料与依据表：\n\n`问题/字段｜材料或分析结果｜对象与期间｜判断类型｜审核状态｜证据定位｜本次用途｜限制/缺口`\n\n常见输入包括主体与披露制度、管理层和重大动作、经营现金与债务、资本开支、研发、分红、回购、融资、并购、商誉/减值、资本效率、增长所需投入、单位经济、现金转换，以及章程、年报、股东大会材料、薪酬报告、审计与内控报告、交易公告、融资文件和监管材料。用户给出的投资工具偏好、控制权诉求、持有期限和目标回报只用于确定分析重点；未经公司或监管材料核实，不作为公司事实。\n\n只有缺口可能改变核心判断时才发起补证。任务单写明：\n\n`待证主张｜缺失权利/事件/金额字段｜主体/司法辖区/时点｜优先原文类型｜建议检索方向｜用途｜缺失时如何降级｜授权或付费边界`\n\n## 五、分析控制权与决策权\n\n### 1. 拆开四类权利\n\n分别登记：\n\n1. **经济利益**：分红、清算、增值和损失由谁承担；\n2. **表决权**：普通事项与重大事项如何投票，是否存在差异表决权或一致行动；\n3. **任免与治理权**：谁提名董事、任免管理层、控制委员会或拥有否决权；\n4. **事实影响力**：资金依赖、关键客户/供应商、牌照、品牌、技术、家族关系或协议如何改变实际决策。\n\n不要用“持股最大”自动等同“实际控制”，也不要把法律控制、会计并表和经营影响力视为同一概念。\n\n### 2. 建立控制权链和变化时间轴\n\n输出：\n\n`最终受益人/控制方 → 中间载体 → 目标主体 → 重要子公司/资产`\n\n逐层写明持股、表决权、董事席位、任免/否决权、质押或其他约束、证据日期。将增减持、协议变化、质押、继承、国资审批、私有化、分拆和控制权争议放入时间轴。\n\n### 3. 判断关键决策机制\n\n检查重大资本支出、并购、融资、担保、关联交易、薪酬和审计事项由谁提出、审核、批准、执行和复盘。董事会“独立”是制度安排，不自动证明有效监督；应观察信息获得、反对/回避记录、专业能力、任期、关联关系和事后纠偏。\n\n## 六、分析激励、约束与利益冲突\n\n### 1. 管理层与核心人员激励\n\n登记：\n\n`对象｜固定/浮动薪酬｜绩效指标｜考核期｜股权工具｜归属/解锁条件｜持有/出售约束｜追索条款｜潜在稀释｜失败后果`\n\n检查指标是否鼓励规模而非价值、短期利润而非现金和资本效率，或通过容易调整的口径获得奖励。股权激励既可能对齐长期价值，也可能在授予价格、频率、稀释、回购抵消和重新定价中转移利益。\n\n### 2. 少数股东与其他资本提供者\n\n按任务检查信息权、表决/否决、优先权、反稀释、共同出售、回购承诺、清算顺位、契约、担保和救济机制。存在条款不等于能够执行；没有公开条款时明确“无法判断”。\n\n### 3. 关联交易与利益转移\n\n建立关联方和事件台账，至少记录交易双方、关系、金额/定价、审批与回避、持续性、商业理由、替代方案、资金/资产流向、财务影响和未解决疑点。\n\n区分正常经营性关联交易、资源支持与潜在利益转移。高金额不自动等同有害，低金额也不自动无关紧要；关键看必要性、公允性、依赖、透明度、控制程序和经济结果。\n\n### 4. 治理事件与制度有效性\n\n关注审计意见、财务重述、内控缺陷、审计师/财务负责人更换、董事辞任、监管处罚、诉讼、举报、担保违约、资金占用和承诺未履行。事件是风险信号，不自动证明全部治理失效；需要连接责任主体、机制、影响和纠偏。\n\n## 七、建立资本配置地图\n\n### 1. 资本来源\n\n按期间登记：\n\n- 经营活动产生的现金；\n- 债务、租赁和其他有偿资金；\n- 股权、可转工具和股东注资；\n- 资产出售、剥离、补贴或其他一次性来源；\n- 既有现金和受限资金变化。\n\n### 2. 资本用途\n\n至少区分：\n\n- 维持性与增长性资本开支；\n- 研发、产品、渠道、组织和其他内生投入；\n- 并购、少数股权投资、合资及后续追加；\n- 偿债、补流、保证金和风险准备；\n- 分红、回购及其他股东回报；\n- 剥离、关停、减值、重组和失败项目处置；\n- 闲置现金、短期投资及受限资产。\n\n来源和用途必须按同一主体、期间、币种和现金/会计口径勾稽。不能把宣布额度当作实际支付，把会计资本开支当作全部增长投入，或把回购授权当作已回购。\n\n### 3. 解释配置约束\n\n将资本用途放回商业模式、生命周期、竞争、契约、监管、税务和流动性约束。保留现金可能是低效，也可能是应对周期、监管资本、诉讼、扩产或收购的必要缓冲；不能脱离约束机械排名。\n\n## 八、评价历史决策与结果\n\n每一项重大配置使用同一条复盘链：\n\n`决策背景 → 宣布目标/备选方案 → 审批与利益关系 → 资金来源 → 实际投入 → 执行里程碑 → 经营/财务结果 → 回报或损失 → 处置/纠偏 → 当前结论`\n\n每项重大配置都要把实际或可支持的回报，与已确认的债务成本、股权/目标回报或其他适用门槛及可行备选用途比较。没有可靠基准时，只评价决策过程、经营结果和待验证条件，不下“创造价值”结论；本 Skill 不为此重算完整 WACC 或估值模型。\n\n评价时遵守：\n\n- 把**决策过程质量**与**事后结果**分开；好结果可能来自周期，坏结果也可能来自不可预见冲击；\n- 把有机投入、并购、偿债和股东回报分开评价，不用一个总分掩盖不同机制；\n- 优先使用已经勾稽的现金、净债务、ROIC、增量 ROIC、商誉/减值和每股结果；本 Skill 解释决策，不重算完整财务模型；\n- 并购不能只看收入增加或交易完成，要检查支付方式、溢价、协同、整合、商誉/减值、现金贡献和退出；\n- 回购不能只看 EPS 增长，要检查实际价格、稀释抵消、净股本变化、资金来源和机会成本；\n- 分红不能只看股息率，要检查现金覆盖、债务、资本需求、稳定性和少数股东可得性；\n- 融资不能只看“获得资金”，要检查成本、期限、优先级、契约、担保、稀释和用途兑现；\n- 研发和长期能力建设可能费用化，不能仅用当期利润否定；但长期投入也不能永久免于里程碑和结果检验。\n\n没有足够历史或可比结果时，输出“过程观察”或“待验证”，不要伪造配置能力评分。\n\n## 九、区分制度类型，不套统一模板\n\n根据主体补充适用检查：\n\n- **创始人/家族控制**：关键人、继任、家族交易、差异表决权和长期承诺；\n- **国有或政府控制**：多重目标、授权链、考核、公共任务、资本约束和少数股东边界；\n- **PE/财务投资者控制**：杠杆、费用、关联安排、期限、退出和管理层激励；\n- **跨国/外资集团**：集团资金池、转移定价、品牌/技术授权和子公司自主权；\n- **VIE、合伙或复杂协议控制**：法律所有权、合同控制、收益权和执行风险分开；\n- **非上市/早期公司**：股东协议、优先权和融资条款往往不公开，结论上限必须随披露下降。\n\n这些是补充检查，不是预设优劣。制度标签本身不能替代具体权利、行为和结果证据。\n\n## 十、形成结论\n\n先把每项判断写成方向明确的命题，再标记 `成立｜条件成立｜不成立｜暂不判断`。例如写“资本来源与用途可追溯｜不成立”或“管理层激励存在重大短期错位｜成立”，不能只写状态。围绕以下问题形成命题：\n\n1. 控制权和重大决策权是否清楚；\n2. 监督、审计与内部控制是否有可观察的有效性；\n3. 管理层、控制股东、少数股东和债权人的利益是否存在关键错位；\n4. 关联交易及其他利益冲突是否被识别、约束和披露；\n5. 资本来源与用途是否可追溯、与战略和财务约束一致；\n6. 历史资本配置是否显示可重复的价值创造、审慎防守或及时纠偏；\n7. 哪些治理或配置变量可能改变公司、估值或投资判断。\n\n“治理质量”和“资本配置质量”必须分开下结论。治理机制健全不保证每项投资成功，单次成功也不能证明治理和配置能力可持续。\n\n## 十一、禁止事项与验收\n\n禁止：\n\n- 以股权比例、董事人数、委员会数量、ESG 分数或公司自述替代实际权利、行为和历史资本流向；\n- 把批准、授权、计划、签约、交割、支付和会计确认混成一个事件；\n- 使用无课题依据的统一治理评分、好坏阈值或资本配置排名；\n- 把无法核实写成“没有问题”，把风险信号写成确定违法事实，或将本专项观察直接写成估值折价、法律裁决或投资结论。\n\n验收：\n\n- [ ] 主体、时点、司法辖区、权利类型和合并范围已经确认。\n- [ ] 经济利益、表决、任免/否决和事实影响力没有混称。\n- [ ] 控制权、激励、关联交易和关键决策均有证据定位及替代解释。\n- [ ] 资本来源与用途使用同口径，并区分宣布、执行、支付和结果。\n- [ ] 重大配置有计划—投入—结果—处置链，过程质量与事后结果分开。\n- [ ] 财务指标来自已确认输入，未重做财务或估值模型。\n- [ ] 不同制度类型按其约束分析，没有标签化判优劣。\n- [
